for Dispec UG (limited liability) – software “Dispec Loomer”

1. Scope

These General Terms and Conditions apply to all contracts between Dispec UG (limited liability) (hereinafter referred to as the “Provider”) and the customer regarding the purchase and use of the software Dispec Loomer.

Any deviating terms and conditions of the customer shall not be recognized unless the Provider expressly agrees to their validity in writing.

2. Subject matter of the contract and responsibilities

  1. The Provider makes the software Dispec Loomer available to the customer as a download. The customer receives a simple, non-transferable right of use in accordance with section 5.
  2. The software is provided in its current version. Scope of functions and system requirements are defined by the product description.
  3. Customer responsibility: The customer is responsible for verifying the compatibility of the software with their specific database environment in a test environment prior to productive use. The validation of data transformed by the software before productive use is the sole responsibility of the customer.

3. Conclusion of contract

  1. The contract is concluded by either purchase via the payment service provider Paddle.com Market Ltd (Merchant of Record) or direct order from Dispec UG (invoice purchase).
  2. For purchases via Paddle, Paddle’s supplementary terms and payment conditions also apply.

4. Prices and payment

  1. The currently valid prices are shown on the product page.
  2. For purchases via Paddle, payment processing is handled entirely by Paddle.
  3. For direct purchases, payment is made by invoice or SEPA direct debit.
  4. The Provider is entitled to block access to the software in case of payment default.

5. Rights of use

  1. The customer receives a simple, non-exclusive, non-transferable right to use the software.
  2. Use is permitted only within the agreed scope, for example single-user license or monthly license.
  3. Any transfer, rental, lending, or public availability is prohibited.
  4. Reverse engineering, decompilation, or modification are permitted only within the mandatory limits of applicable law.

6. License key

  1. The software may be used free of charge for the first 4 weeks after installation.
  2. Use of the software after the free phase requires a valid license key.
  3. The license key may not be shared or published.
  4. The Provider is entitled to block license keys in cases of misuse or payment default.
  5. For subscription models, the validity of the license key ends automatically at the end of the billing period.

7. Updates and support

  1. The Provider provides updates at its own discretion.
  2. There is no entitlement to specific functions or further development.
  3. Support is provided by email or through the website.

8. Warranty

  1. For consumers, the statutory warranty rights apply.
  2. For entrepreneurs, the following applies:
  • The warranty period is 12 months.
  • The Provider does not owe error-free or uninterrupted availability.
  • Insignificant defects do not give rise to claims.

9. Liability and data backup

  1. The Provider is liable without limitation for intent and gross negligence, injury to life, body, or health, and claims under the Product Liability Act.
  2. In the event of slight negligence, the Provider is liable only for breach of essential contractual obligations ("cardinal obligations"). In this case, liability is limited to the typically foreseeable damage.
  3. Liability for data loss: Liability for data loss is limited to the typical recovery effort that would have arisen had the customer regularly created appropriate backup copies.
  4. Any further liability is excluded.

10. Data storage and privacy

  1. The Provider processes personal data exclusively in accordance with the privacy policy.
  2. For purchases via Paddle, data processing is carried out by Paddle as an independent controller.

11. Term and termination (for subscriptions)

  1. Monthly licenses can be terminated at the end of the current billing period.
  2. There is no minimum term.
  3. Annual licenses renew automatically for another year unless they are terminated at least 30 days before expiry.
  4. After termination or expiry, the license key is deactivated.

12. Final provisions

  1. German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
  2. If the customer is an entrepreneur, the place of jurisdiction is the Provider’s registered office.
  3. If individual provisions are invalid, the remainder of the contract shall remain unaffected.
